Terms of Service

These Terms of Service ("Terms") govern your access to and use of Kwant ("Kwant", "we", "us"), a hosted quant-intelligence service delivered over the Model Context Protocol (MCP) at https://kwant.sh and https://kwant.sh/mcp (the "Service"). By requesting an API key, connecting an MCP client, or paying for a query, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1 · The Service

Kwant exposes quantitative tools — market data, technical signals, screens, factor scores, portfolio construction, and backtests over US and Toronto Stock Exchange (TSX) equities — as parameterized MCP tools returning structured JSON. Tool discovery (initialize, tools/list) is free; each tools/call is a priced query.

2 · Not investment advice

Kwant output is for research and informational purposes only. It is not investment, financial, legal, tax, or trading advice, and is not a recommendation, solicitation, or offer to buy or sell any security. Market data may be delayed, incomplete, or inaccurate. You are solely responsible for any decision you make using the Service and for any resulting gains or losses. Past performance and backtested results do not guarantee future results.

3 · Accounts & API keys

You may obtain an API key (prefix kwant_) by providing an email address and completing bot verification. The key authenticates your requests and draws on your balance.
An API key is shown once. You are responsible for keeping it secret and for all activity under it, whether by you, your agents, or anyone you share it with.
You must provide a valid email and may not impersonate others or evade rate limits, quotas, or per-key controls.
We may suspend or revoke a key at any time for suspected abuse, non-payment, security risk, or violation of these Terms.

4 · Pricing & payment

New keys open with promotional trial credit (currently $3 USD). Trial credit has no cash value, is non-transferable, and may change or end at any time.
Priced queries cost $0.005 USD (data/signal tools) or $0.010 USD (intelligence tools), enforced server-side. Prices may change on a prospective basis.
Prepaid rail: you fund a balance via Stripe Checkout (POST /topup); each query debits it. Payment card processing is handled by Stripe under its own terms.
x402 rail: you may pay per query in USDC on Base mainnet without an account. On-chain payments are settled by a third-party facilitator and are irreversible once confirmed.
Charges are consumption-based and are generally non-refundable except as required by law or at our discretion (e.g. a verified Service error). Refund requests: POST /refund or the contact below.
You are responsible for any taxes, gas, or network fees associated with your payments.

5 · Acceptable use

You agree not to:

resell, sublicense, or systematically redistribute raw Service output as a competing data feed;
overload, probe, or interfere with the Service, its rate limits, or its infrastructure;
use the Service for unlawful purposes, market manipulation, or to violate any exchange, data-provider, or securities regulation applicable to you;
circumvent metering, billing, or authentication, or attempt to access another user's data or key.

6 · Third-party data & services

The Service relies on third-party market-data providers and infrastructure (including data vendors, Cloudflare, Stripe, and an x402 payment facilitator). Their data and availability are outside our control, and their own terms may apply. We do not warrant the accuracy, completeness, or timeliness of third-party data.

7 · Availability

The Service is provided on a commercially reasonable-efforts basis. We may modify, suspend, or discontinue any part of it, including tools, pricing, or payment rails, at any time. We are not liable for downtime, maintenance, or provider outages.

8 · Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any data or result is correct.

9 · Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KWANT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE CLAIM OR (B) $50 USD.

10 · Indemnification

You agree to indemnify and hold Kwant harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11 · Changes to these Terms

We may update these Terms from time to time. Material changes take effect when the updated Terms are posted at this URL with a new effective date. Continued use after a change constitutes acceptance.

12 · Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, and applicable federal laws of Canada, without regard to conflict-of-laws rules. The courts located in Ontario, Canada will have exclusive jurisdiction, unless mandatory local law provides otherwise.
